Acceptance of terms
These Terms of Service ("Terms") govern your access to and use of the xenzee suite of online business applications and any related websites, services and software (together, the "Services"). The Services are operated by Loyus Solutions Pvt. Ltd. ("Loyus", "we", "us" or "our"). "xenzee" is a brand and trading name of Loyus Solutions Pvt. Ltd.
By creating an account, signing in, or otherwise using the Services, you confirm that you have read, understood and agree to be bound by these Terms. If you are using the Services on behalf of an organisation, you confirm that you have authority to bind that organisation, and "you" refers to that organisation. If you do not agree, you must not use the Services.
Who we are
The Services are provided by Loyus Solutions Pvt. Ltd., the owner of the xenzee brand. The xenzee suite is made up of separate but connected applications, including Delta (social media management), Atlas (SEO and search), Haven (HR and people), Nexus (CRM and revenue), Forge (projects, delivery and ROI), Campaigns (paid advertising) and Pulse (cross-app reporting). Additional applications may be added to the suite over time and will be covered by these Terms.
Definitions
- Account means the single xenzee identity used to access the Services across the suite.
- Apps means the individual applications within the xenzee suite.
- Your Content means any data, files, text, media and other materials that you or your users submit to, store in, or generate through the Services.
- Connected Platform means any third-party service you choose to link to the Services, such as an advertising network, social network, mailbox or payment provider.
- Users means the individuals you authorise to access the Services under your Account.
Your account and eligibility
A single xenzee Account gives you access to the Apps through one secure sign-on. You must provide accurate information, keep your credentials confidential, and you are responsible for all activity that occurs under your Account and by your Users.
You must be at least 18 years old, or the age of majority in your jurisdiction, and capable of forming a binding contract to use the Services. You are responsible for ensuring your Users comply with these Terms.
The suite and the apps
The Apps are designed to work together and share a single identity and connected data so that information can flow between them. You may use one App or several. Switching an App on or off does not change your obligations under these Terms for the Apps you continue to use. Some features depend on Connected Platforms or on other Apps in the suite being enabled, and may be unavailable if those are not configured.
Acceptable use
You agree not to misuse the Services. In particular, you must not:
- break any applicable law or regulation, or infringe anyone else’s rights;
- upload or distribute unlawful, harmful, deceptive or infringing material;
- send unsolicited, unlawful or deceptive communications, or use the Services to spam;
- attempt to access accounts, data or systems that do not belong to you;
- probe, scan, overload, disrupt or reverse engineer the Services, except to the extent the law expressly permits;
- use the Services to build a competing product, or resell them without our written permission; or
- violate the rules of any Connected Platform you link to the Services.
We may set reasonable technical limits to protect the Services and other customers.
Your content and data
As between you and us, you own Your Content. You grant us a limited, worldwide, non-exclusive licence to host, store, process, transmit, display and adapt Your Content solely to operate, secure, support and improve the Services for you, and to perform the functions you ask the Services to perform (such as publishing a post, sending an invoice or building a report).
You are responsible for Your Content and for having the necessary rights and permissions to provide it to us and to have us process it. Where Your Content includes personal data of others (for example your employees, customers or contacts), our respective roles and responsibilities are described in our Privacy Policy.
Plans, billing and no-cost tier
Some parts of the Services are offered at no charge and others on a paid basis. Paid plans, the Apps they include and their fees are described at the point of purchase inside your Account. Unless stated otherwise, fees are billed in advance, are exclusive of applicable taxes, and are non-refundable except where required by law.
You authorise us, or our payment processors, to charge the payment method on file for all fees due. If a payment fails or an account is overdue, we may suspend paid features until the balance is settled. We may change pricing on reasonable notice, and changes take effect at the start of your next billing period.
Third-party connections
The Services let you connect Connected Platforms, for example advertising networks, social networks, search tools, mailboxes and payment providers. When you connect one, you authorise the Services to access and exchange data with it on your behalf, through that platform’s official authentication, for as long as the connection is active. You can disconnect at any time.
Your use of any Connected Platform is governed by that platform’s own terms and policies. We are not responsible for Connected Platforms, their availability, or changes they make, and we do not control how they handle data once it reaches them. You are responsible for complying with the rules of every platform you connect.
Intellectual property
The Services, including the xenzee brand, the Apps, their software, design, text and other materials we provide, are owned by Loyus Solutions Pvt. Ltd. or our licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Services in accordance with these Terms. No rights are granted to you except as expressly set out here. If you give us feedback or suggestions, we may use them without obligation to you.
Availability and changes
We work to keep the Services available and reliable, but we do not guarantee uninterrupted or error-free operation. We may modify, add or remove features, and may carry out maintenance that temporarily affects availability. Where a change materially reduces core functionality of a paid App, we will use reasonable efforts to give advance notice.
Suspension and termination
You may stop using the Services and close your Account at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Services, other customers or third parties. Where reasonable, we will give notice and an opportunity to fix the issue.
On termination, your right to use the Services ends. We will make Your Content available for export for a limited period where reasonably practicable, after which it may be deleted in line with our retention practices. Terms that by their nature should survive termination will continue to apply.
Disclaimers
To the maximum extent permitted by law, the Services are provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that the Services will meet your requirements, that results, reports or figures generated by the Services are error-free, or that the Services will be secure, uninterrupted or free of harmful components. Any decisions you make based on outputs of the Services are your responsibility.
Limitation of liability
To the maximum extent permitted by law, neither Loyus Solutions Pvt. Ltd. nor its suppliers will be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, goodwill, data or business, arising out of or related to the Services, even if advised of the possibility. To the maximum extent permitted by law, our total aggregate liability arising out of or related to the Services will not exceed the total fees you paid to us for the Services in the twelve months immediately before the event giving rise to the liability. Nothing in these Terms excludes liability that cannot lawfully be excluded.
Indemnification
You agree to indemnify and hold harmless Loyus Solutions Pvt. Ltd., its officers, employees and suppliers from and against any claims, damages, liabilities, costs and expenses (including reasonable legal fees) arising out of or related to Your Content, your use of the Services, your use of Connected Platforms, or your breach of these Terms or of any law or third-party right.
Governing law and disputes
These Terms and any dispute arising out of or in connection with them are governed by the laws of India, without regard to conflict-of-law principles. The courts having jurisdiction over the registered office of Loyus Solutions Pvt. Ltd. will have exclusive jurisdiction, subject to any mandatory consumer protections that apply in your place of residence. Before bringing any formal claim, you agree to first attempt to resolve the matter with us in good faith.
Changes to these terms
We may update these Terms from time to time. When we make material changes, we will update the "last updated" date and, where appropriate, notify you within the Services. Changes take effect when posted, and your continued use of the Services after that point means you accept the updated Terms.
App-specific terms
The following additional terms apply to specific Apps, in addition to the general Terms above. Where an App-specific term conflicts with the general Terms, the App-specific term controls for that App.
Delta (social media)
Delta lets you connect social accounts and create, schedule and publish content, and manage interactions. You authorise Delta to act on your connected social accounts as you direct, including publishing and responding on your behalf. You are responsible for the content you publish, for holding the rights to it, and for complying with the terms and community rules of each social network. Scheduling and publishing depend on the relevant network being available and the connection remaining valid.
Atlas (SEO)
Atlas analyses websites and search performance and provides audits, tracking and recommendations. You confirm you are authorised to analyse any website or property you add. Recommendations are provided for guidance only; search outcomes depend on many factors outside our control, and we do not guarantee any ranking, traffic or result.
Haven (HR)
Haven helps you manage hiring, people and the employee lifecycle, which involves personal data of your staff and candidates. For that personal data, you act as the data controller and we act as your processor, handling it on your instructions to provide the App. You are responsible for having a lawful basis to process your people’s data, for providing any required notices, and for the accuracy of the records you keep in Haven.
Nexus (CRM)
Nexus helps you manage contacts, deals, quotes, invoices, payments and support. For the personal data of your contacts and customers, you act as the data controller and we act as your processor. You are responsible for your communications and for complying with marketing, e-invoicing and consumer laws that apply to you. Payments taken through Nexus are processed by third-party payment providers under their own terms, and you are responsible for your relationship with those providers.
Forge (projects and ROI)
Forge helps you run projects and produce cost, margin and ROI reporting, including a client portal and figures drawn from other Apps and Connected Platforms. Reports, costs and ROI figures are estimates generated from the data available to the App and are only as accurate as that data; they are provided for your internal use and do not constitute financial, tax or accounting advice. You are responsible for how you share figures with clients and for the accuracy of the inputs.
Campaigns (paid ads)
Campaigns lets you connect advertising accounts and launch, manage and track paid Campaigns across networks. You authorise Campaigns to access and act on your connected ad accounts as you direct. You remain responsible for your advertising spend, for the content and targeting of your ads, and for complying with the advertising policies, billing terms and rules of each network. We are not responsible for amounts you spend on any network or for decisions made by a network about your ads.
Pulse (reporting)
Pulse builds reports across the Apps and Connected Platforms you have enabled. Reports are generated from the data those sources make available and are provided for your internal decision-making. Outputs may be incomplete or inaccurate where a source is unavailable, not connected, or contains incomplete data, and they do not constitute professional advice. You are responsible for how you interpret and act on them.

These Terms, together with our Privacy Policy, are the entire agreement between you and Loyus Solutions Pvt. Ltd. regarding the Services and supersede any prior agreements on the same subject.
